End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your"), either individually or on behalf of an organization, and QuickFlow ("we," "our," or "us") governing your use of the QuickFlow software application and related services (collectively, the "Service").
By accessing or using QuickFlow, you agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Service.
1. Description of the Service
QuickFlow is a workflow management application designed for businesses. It connects to QuickBooks Online via the Intuit Developer API and allows authorized users to view, create, and manage customers, invoices, estimates, payments, and related workflow records in a single interface optimized for field and tablet-based use.
2. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations. This license does not include the right to:
- Copy, modify, adapt, translate, or create derivative works of the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Sell, resell, rent, lease, transfer, or sublicense the Service to any third party
- Use the Service to build a competing product or service
- Remove or obscure any proprietary notices or labels on or within the Service
3. QuickBooks Online Integration
a. Intuit Developer Terms
QuickFlow integrates with QuickBooks Online through the Intuit Developer API. Your use of the QuickBooks integration within QuickFlow is also subject to Intuit's API Terms of Service and Intuit's Terms of Service. In the event of a conflict between this Agreement and Intuit's terms with respect to QuickBooks Online data, Intuit's terms shall control.
b. OAuth Authorization
To connect QuickFlow to your QuickBooks Online company, you must authorize the connection through Intuit's OAuth 2.0 flow. By granting authorization, you permit QuickFlow to read and write QuickBooks data (including customers, invoices, estimates, payments, and items) on your behalf using the scopes you have approved. You may revoke this authorization at any time through your Intuit account connections page.
c. Accuracy of Data
You are responsible for the accuracy, completeness, and legality of all data you enter into or synchronize through QuickFlow. We are not responsible for errors in your QuickBooks data, misconfigured synchronization, or consequences arising from incorrect data being written to QuickBooks Online.
d. QuickBooks Account Requirements
Use of the QuickBooks integration requires an active, valid QuickBooks Online subscription maintained directly with Intuit. QuickFlow is not responsible for subscription fees, access limitations, or changes to the QuickBooks Online platform imposed by Intuit.
4. Accounts and Organizations
Access to QuickFlow requires authentication. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and complete information when registering
- Promptly notify us of any unauthorized access to your account
- Not share your account credentials with unauthorized individuals
- Not use another user's account without their explicit permission
Each user account is associated with a single organization within QuickFlow. Organization administrators are responsible for managing user access within their organization.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Transmit any data that is unlawful, harmful, fraudulent, or deceptive
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Use automated scripts, bots, or scrapers to access the Service in a manner that exceeds normal usage
- Circumvent any rate limits imposed by Intuit or by QuickFlow
- Use the Service in any manner that could damage, disable, overburden, or impair the Intuit API
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
You represent and warrant that you have all rights, permissions, and consents necessary to submit any data (including personal data of your customers or employees) to the Service and to authorize QuickFlow to process that data on your behalf in connection with operating the Service.
7. Intellectual Property
The Service, including all software, designs, text, graphics, interfaces, and other content, is owned by or licensed to QuickFlow and is protected by applicable intellectual property laws. Nothing in this Agreement transfers any intellectual property rights to you. All rights not expressly granted are reserved.
"QuickBooks" and "Intuit" are trademarks of Intuit Inc. QuickFlow is not affiliated with, endorsed by, or sponsored by Intuit Inc.
8. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation. We may also update this Agreement at any time. Continued use of the Service after such updates constitutes your acceptance of the revised terms.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA OBTAINED THROUGH THE QUICKBOOKS ONLINE INTEGRATION.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUICKFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
11. Indemnification
You agree to indemnify, defend, and hold harmless QuickFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of this Agreement; (c) your violation of any third-party rights, including Intuit's terms; or (d) any data you submit to or through the Service.
12. Term and Termination
This Agreement is effective from the date you first access the Service and remains in effect until terminated. We may terminate or suspend your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination:
- All licenses granted under this Agreement immediately terminate
- You must cease all use of the Service
- We may delete your account data in accordance with our Privacy Policy
- QuickFlow's OAuth connection to your QuickBooks account should be revoked through your Intuit account settings
Sections 7, 9, 10, 11, 13, and 14 survive any termination of this Agreement.
13. Governing Law and Disputes
This Agreement is governed by the laws of the state in which QuickFlow operates, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved through binding arbitration or in a court of competent jurisdiction, as applicable under governing law. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
14. General Provisions
- Entire Agreement. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and QuickFlow regarding the Service.
- Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force.
- Waiver. Failure to enforce any right under this Agreement does not constitute a waiver of that right.
- Assignment. You may not assign your rights under this Agreement without our prior written consent. We may assign our rights without restriction.
- No Third-Party Beneficiaries. This Agreement does not create any third-party beneficiary rights.
